Merchant Agreement

The agreement between D Y K, which provides Spice-ey, and the businesses that use it.

Last updated: 5 October 2026

The parties. This agreement is between D Y K, a limited liability company registered in Egypt (Commercial Registry No. 20322, 6th of October Investment Office; Tax Registration No. 667-383-212), which provides Spice-ey (“Spice-ey”, “we”, “us”), and the business that creates or uses a Spice-ey workspace (“you”).

Accepting it. You accept this agreement when you create a workspace, start a plan, or sign an order form that refers to it. The person accepting confirms they have authority to bind the business.

Other documents. The Terms of Service, the Privacy Policy and the Refund & Cancellation Policy also apply. Where they differ, this agreement governs the relationship between you and us. A signed order form governs what it covers.

1. The service

  • Spice-ey gives your business software for the parts your plan includes, as described on our pricing page and in your Console: menus and storefront ordering; point of sale and the kitchen display; delivery; inventory and accounting records; customer tools, reports and AI features.
  • Spice-ey is software. Your business remains the seller of its products, the operator of its kitchen and service, and responsible for its staff and couriers.
  • Your storefront, order pages and receipts show a small “Powered by Spice-ey” mark.

2. Your workspace and team

  • The person who creates the workspace is its owner. The owner decides who has access and in which role, and removes access when someone leaves.
  • You’re responsible for what happens in your workspace. That covers your team, your couriers, and anything you connect to it, including outside AI assistants.
  • You provide and look after the tablets, phones, printers and internet connection that run Spice-ey. Hardware isn’t part of a standard plan.

3. Plans, fees and payment

Plans and prices

  • Prices. Fees are in Egyptian pounds (EGP) for the plan, billing period and add-ons you choose, at the prices shown on our pricing page or in your order form when you subscribe. The price shown is what you pay: it includes any VAT that applies.
  • Free plan. It costs nothing, includes the features listed for it, and may have usage limits.

Paying

  • When you pay. You pay in advance for each billing period.
  • How you pay. Today, by InstaPay or bank transfer. When card payment is added, card details go to the payment provider, never to us.
  • Starting a paid plan. You choose a paid plan and send the first payment. Your workspace stays fully open for 14 days while we confirm the payment. If we can’t confirm it in that time, the paid features stop and the invoice is void. Contact us to restore them.
  • Renewal. Paid plans renew automatically for the same period unless you cancel before the renewal date. We issue an invoice for every period.
  • Late payment. If a renewal is still unpaid 14 days after it was due, we may restrict your workspace until the invoice is paid. For example, the Console may become read-only. A late payment never deletes your data (see section 12 for what happens when an account closes).

Changes, promotions and limits

  • Price changes. We may change prices for future periods, with at least 30 days’ notice. A new price applies from your first renewal after the notice period. If you don’t accept it, cancel before it applies.
  • Promotions. Promo codes and launch offers come with the terms shown when you apply them: eligible plans, length and expiry date. They have no cash value. They can’t be transferred, or combined unless their terms say so. An offer that asks you to pay several months in advance (for example, “pay 6 months, get 6 months free”) covers its whole term and is billed upfront. For refunds, it is treated like a prepaid annual plan.
  • Usage limits. Some features, such as AI, have monthly allowances that depend on the plan. When an allowance runs out, that feature pauses until the next period or until you upgrade.

4. Cancelling and refunds

Our Refund & Cancellation Policy applies. In short:

  • You can cancel at any time.
  • The cancellation takes effect at the end of the period you’ve paid for. Your workspace then moves to the Free plan.
  • Fees you’ve paid are generally not refunded once access has started, except where that policy or the law says otherwise.

5. You as the seller

You are responsible for your business and for everything you sell through Spice-ey, including:

  • Licences: the licences, permits and registrations your business needs.
  • Your products: their safety, quality, preparation and packaging; accurate ingredients and allergen information; accurate descriptions and photos.
  • Your terms: your prices, fees, delivery areas, service times and policies, shown clearly to customers.
  • Customer payments: collecting payment from your customers, and handling refunds, chargebacks and complaints.
  • Taxes: your own taxes, invoices and receipts, including any VAT and any Egyptian Tax Authority e-invoice or e-receipt duties. Spice-ey keeps your records and prints receipts, but it doesn’t submit anything to the Tax Authority for you.
  • Your people: the employment, pay, conduct and safety of your staff and couriers, including on the road.
  • The law: following consumer-protection, food-safety, advertising and data-protection law.

6. Your customers’ payments

  • Your customers pay you, not Spice-ey. You choose which methods to offer: cash; card, through your own payment-provider account (such as Paymob); or InstaPay or bank transfer to your account.
  • What Spice-ey does. It records the payment method and status. It doesn’t hold, settle or guarantee your money, and it isn’t responsible for a provider’s decisions, fees or delays.
  • Transfer receipts. When a customer pays by transfer and uploads a receipt, check it against your account before you accept the order.

7. Messages to your customers

  • Service messages. Spice-ey sends service messages for you, such as order updates, sign-in codes and receipts. They go by email, SMS or WhatsApp, and some come from a Spice-ey sender name.
  • Marketing messages, such as campaigns and offers, need your customers’ permission. Getting that permission and honouring opt-outs is your responsibility. We provide unsubscribe tools where the channel supports them.

8. Customer data and privacy

  • Who is responsible for what. For data about your customers, staff and orders, you are the controller. We process it for you, on your instructions and under this agreement, to provide Spice-ey. A customer’s storefront account (their own profile and saved addresses, usable on any Spice-ey storefront) is ours as controller, as the Privacy Policy explains.
  • How we use your data. We process it only to provide, secure, support and improve Spice-ey, and where the law requires. We don’t sell it. We don’t give any merchant a directory of other merchants’ customers. We don’t use your customer list to market other businesses to them.
  • People and providers. Only Spice-ey staff who need access to do their job have it, and they are bound to confidentiality. We use service providers for hosting, databases, email, SMS and WhatsApp, maps, AI models, payments and monitoring, under contracts that protect the data. We remain responsible for them. Data may be processed outside Egypt with appropriate safeguards.
  • Security. We keep each business’s data separate, encrypt it in transit, control and log access, and back it up. If we learn of a security incident that affects your data, we tell you without undue delay and help you meet your legal duties.
  • Your part. Collect and use customer data lawfully. Tell your customers how you use it; you can publish your own privacy notice on your storefront. Answer their requests. We help with any request that reaches us.

9. AI features

  • AI drafts; you decide. AI features draft, translate, extract and suggest. Review the output before you publish it or act on it. You are responsible for what you publish, including prices, allergens and replies to customers.
  • How your content is used. For each request, we send the content it needs to our AI provider. The provider processes it on our behalf and doesn’t train its models on it.
  • Agent access. If you connect an outside AI assistant to your workspace, it acts with the permissions you approved. You’re responsible for what it does. You can disconnect it at any time in the Console.

10. Showing you as a customer

  • What we show. With your permission, we may show your business name and logo on spice-ey.com and in our marketing, with a link to your storefront.
  • Changing or removing it. Ask at hello@spice-ey.com at any time, and we’ll do it within 5 business days.
  • Nothing more. We won’t claim you endorse Spice-ey beyond that without asking you.

11. Support and changes to the service

  • Support. We give support by email and WhatsApp, and aim to reply within one business day. Restaurant and contract plans may include the onboarding and support set out in their order form.
  • Uptime. Standard plans don’t come with an uptime guarantee. We announce planned maintenance when we reasonably can. Any service-level commitment is set in a signed order form.
  • Feature changes. We may change Spice-ey (Terms of Service, section 8). If we remove a core part of your paid plan, we tell you at least 30 days in advance, and if you cancel because of it, we refund the unused part of any period you prepaid.

12. Suspension and ending the agreement

  • You can cancel your plan (section 4) or close your account at any time.
  • We may suspend all or part of the service for unpaid invoices (section 3), for a security risk, or for a serious breach of this agreement, the Terms of Service or the law. Where it’s reasonable, we warn you first.
  • For breach. Either of us may end this agreement if the other seriously breaches it and doesn’t put it right within 14 days of written notice.
  • With notice. We may also end your plan with 30 days’ notice for any reason. We then refund the unused part of any fees you prepaid.
  • Before an account closes, download what you need, or ask us to export your menu, orders and customer list. If we end the agreement, we give you a reasonable chance to do this first, unless the law or a security risk prevents it.
  • When your account closes, your storefront stops taking orders. Within 30 days, we delete or de-identify the workspace’s data. We keep only what we must for tax, accounting, fraud-prevention or legal reasons, as the account deletion page and the Privacy Policy describe.

13. Liability

  • Each of us is responsible for our own breaches.
  • Indirect loss. To the extent the law allows, neither of us is liable for indirect or consequential loss, or for lost profit, revenue, orders or goodwill.
  • Our cap. Our total liability under this agreement in any 12 months is limited to the greater of the fees you paid us in those 12 months, or EGP 1,000.
  • Exceptions. These limits don’t apply to fraud or gross negligence, your payment obligations, your indemnity (section 14), or any liability that Egyptian law doesn’t allow to be limited.

14. Indemnity

You will defend us against, and cover our losses from, claims by others arising from your products, service or content, or from your breach of this agreement or the law. “Others” includes your customers, your staff and the authorities. This doesn’t apply to the extent the claim was caused by our own breach.

15. Confidentiality

Each of us keeps the other’s non-public business information confidential. We use it only for this agreement, unless the law requires disclosure. Your data is covered by section 8.

16. General

  • Changes to this agreement. We may update it, with at least 30 days’ notice of material changes by email or in the Console. Changes apply from your first renewal after the notice period. They may apply sooner where the law or security requires. If you don’t agree, cancel before they apply.
  • Notices. We send notices to the owner’s email or in the Console. You send yours to hello@spice-ey.com.
  • Transfer. You may transfer this agreement only with our consent; if you sell your business, contact us. We may transfer it, with notice, to a company that takes over Spice-ey.
  • Force majeure. Neither of us is liable for delays caused by events beyond reasonable control, such as power or internet outages, provider failures, government action or natural events. This doesn’t excuse payments that are due.
  • Whole agreement. This agreement, the Terms of Service, the Privacy Policy, the Refund & Cancellation Policy and any order form are the whole agreement about Spice-ey.
  • Law and disputes. This agreement is governed by the laws of the Arab Republic of Egypt. We first try to settle any dispute amicably within 30 days. After that, the competent courts of Giza have jurisdiction.
  • Language. This agreement is written in English and published in Arabic. Where Egyptian law requires the Arabic text, the Arabic version prevails. Otherwise, the English version prevails.
